  On December 25th, 2008, Zhou Xiaodi, the former chairman of Shanghai New Century Yide Real Estate Company, who was named as the "son of Pudong", appeared in court in Shanghai on charges of intentional injury and illegal reselling of land use rights.


  According to the accusation of the First Branch of the Shanghai Municipal People’s Procuratorate, from September 2001 to November 2006, in the name of "joint development", Zhou Xiaodi granted 2,536.048 mu of land use right of Sanlinyide plot in Pudong New Area, It was illegally transferred to Shanghai Sunshine Investment (Group) Co., Ltd.   Yide Company only owns more than 2,500 mu of land development rights, but Zhou Xiaodi promised that Sunshine Company has 1,243 mu of land, Xizi Company has 800 mu of land, Xinrong Company has 475 mu of land, and it has to keep 500 mu of land for independent development rights, thus realizing "selling more in one place".


  On November 6th, 2007, Yin Minghua, the shareholder representative of Xizi Group, was violently attacked and seriously injured. It is understood that there was a conflict between Yin Minghua and Zhou Xiaodi for the equity of Sanlin Yide plot. Soon after, the police arrested Zhou Xiaodi, who was seriously suspected.


  Illegal acquisition of source land


  Half a year after Zhou Xiaodi was brought to justice, the Shanghai Real Estate Bureau issued a document entitled "Decision on Reclaiming the Land Use Right of Sanlinyide Residential Area in Pudong New Area", which reclaimed 2,536 mu of land use right of Sanlinyide plot repeatedly overturned in Zhou Xiaodi and re-entered the land resource reserve center of Pudong New Area as reserve land. This is the largest piece of land recovered by the Shanghai government over the years. The reason of the Real Estate Bureau is that the relevant cooperation agreement has not been approved by the government, and the land transferor, Shanghai County Real Estate Corporation, did not include the land use right in the scope of restructured assets in the process of enterprise restructuring.


  This official document implies more inside information-it is illegal to obtain this plot that caused many right and wrong at first. The last one who sold land to Zhou Xiaodi is the predecessor of Zhongxiang Company-Shanghai County Real Estate Corporation.


  According to public information, on April 9, 2001, Zhou Xiaodi established Shanghai New Century Yide Real Estate Co., Ltd. (hereinafter referred to as Yide Company) in the name of Shanghai New Century Venture (Group) Co., Ltd. (hereinafter referred to as "New Century Company") with Shanghai County Real Estate Corporation and another government-backed Zhongxing Company. Zhou Xiaodi New Century Company actually transferred the right to use this 2,536 mu of land from Shanghai County Real Estate Corporation for 634 million yuan.


  National business daily learned from people familiar with the matter that Shanghai County Real Estate Corporation, with the approval of Shanghai County People’s Government in December 1992, requisitioned 2,536 mu of land in Sanlin Town, Pudong for the development and construction of Yide residential area. In 1993, the company signed an agreement with Zhongxing Company to develop the plot. However, after paying part of the preliminary project cost, Zhongxing Company was unable to pay the rest, so the project ran aground.


  In 1996, the land management department of Pudong New Area issued a notice to start construction within a time limit for Sanlinyide plot, which has been assigned to Pudong New Area.   According to informed sources, from 1996 to May 2001, Shanghai County Real Estate Corporation repeatedly applied to Pudong New Area Comprehensive Planning and Land Bureau to extend the term of the land use permit. However, on April 27th, 2001, the Shanghai Administration for Industry and Commerce has approved the renaming of Shanghai County Real Estate Corporation as Shanghai Zhongxiang (Group) Co., Ltd., and transformed it from a state-owned enterprise into a private enterprise invested by natural persons.


  During the cooperation between Qin Jinlong and Zhou Xiaodi, Shanghai County Real Estate Corporation was in the stage of restructuring. The transfer of the right to use the 2,536 mu of land that has been repeatedly moved took place during the restructuring period.


  Relevant information shows that Qin Jinlong, 61, was appointed as the legal representative and general manager of Shanghai County Real Estate Corporation in 1992. After the restructuring of the company, he served as the legal representative and president of Zhongxiang Company, owned 40% equity of Zhongxiang Company, and had the right to decide on land transfer.

  In broad daylight, how was more than 2,500 mu of land in Sanlin Yide hidden? The answer should be found in the financial report of Shanghai County Real Estate Corporation during the restructuring period.


  According to the investigation of the prosecution, at the end of 1999, Qin Jinlong and others provided the audit institution with the expired land use right certificate of Sanlin Yide plot, concealing the materials that were applied for extension of development and were approved. Therefore, Yide plot was not included in the property reported by the company for restructuring.


  According to the above investigation, the prosecution found that Qin Jinlong embezzled 54.39 million yuan of state-owned assets.


  Case analysis, restructuring through the road, Qin Jinlong’s crazy move


  Sanlinyide plot is only the largest plot hidden by Qin Jinlong and others.


  In 1999, on the eve of the restructuring, Shanghai County Real Estate Corporation transferred 69 mu of land in Longbai Sixth Village to Shanghai Fosun High-tech (Group) Co., Ltd. for more than 100 million yuan. When Qin Jinlong reported the restructured assets, he fictionalized the transfer payment of more than 50 million yuan paid by Fosun as a loan. Ding Beili, the chief financial officer, and Zhang Yong, the manager of the pre-development department, all participated in this time to varying degrees, resulting in the land transfer money before the restructuring falling into the pocket of Zhongxiang Company.   In 2000, Qin Jinlong and Ding Beili lied to the audit unit that the 833 mu of land in the plot of Hengxing, Chen Hang, could still be developed and used. In 1993, the plot was transferred to relevant companies for development at a price of 60 million yuan, and the 833 mu of land in the plot was not evaluated as a converted asset.


  In March 2001, in the name of Shanghai County Real Estate Corporation, Qin Jinlong transferred 833 mu of land to Shanghai Pengxin Real Estate Development Co., Ltd. and Shanghai Pengxin (Group) Co., Ltd. for 230 million yuan, and the other party paid a total of 172.6 million yuan to Zhongxiang Company. Qin Jinlong and Ding Beili embezzled 19.05 million yuan of state-owned assets.


  The prosecution finally found that Qin Jinlong embezzled 161 million yuan of state-owned assets, while Ding Beili and Zhang Yong were involved in embezzling 106 million yuan and 87.15 million yuan respectively. Since all three people were state employees before, they should be investigated for criminal responsibility for corruption according to the Criminal Law. The case is expected to be heard publicly in Shanghai No.1 Intermediate People’s Court in early March.

But the air is very fresh in the humid forest. Along the way through the litchi forest, there are beautiful purple jade plates, elegant and fragrant lotus flowers, Sapium sativum, catnip, Capparis spinosa, Ficus crassifolia and other plants. When walking 460 meters down the left side of the mountain road, the fourth information sign appeared, indicating that there are 520 meters left from the entrance of Chaguang. When we arrive at the entrance and exit of Chaguang Zijian Garden, there will be a large banana forest. Therefore, the official divides this demonstration hiking trail into three sections: "Lilin Banana Shadow", "Valley Wild Interest" and "Deep Forest Exploration".

A total of 18,000 steps have been taken after completing the Tanglangshan section of Shanhai Corridor. My renovation lawsuit won! Thanks to the "iron triangle of evidence" of Niujiao Prison.

On the day I got the court verdict, I stared at the words "renovation contract dispute case won". This eight-month tug-of-war finally ended in victory.

What stands behind the victory is the "iron triangle of evidence" built for me by the third-party supervisor of Niujiao Prison-if I hadn’t bitten my teeth and invited the supervisor in the early stage of renovation, I might still be wrangling with the decoration company, and I didn’t even know that those hidden dangers hidden in the wall and buried underground would become a heavy hammer to life one day in the future.

The third month after I bought the house, I signed renovation contract. The other party vowed: "straight management throughout the process, worry-free", and also took out a "quality commitment letter" with a red seal. Everything went well at first, with water and electricity slotting and cement entering the site. I watched the progress in the work group every day until I went to the scene one weekend, only to find that something was wrong:  

→ The kitchen sewer pipe is not the brand agreed in the contract, and the unfamiliar "three noes" logo; is printed on the package;  

→ The waterproof of the bathroom is only 1.2 meters high, and the contract clearly States that "the waterproof height of the wall is 1.8 meters"

→ What’s even more ridiculous is that the electrician directly tied the strong and weak wires together and passed through the pipe. The supervisor later told me that this would lead to signal interference and even bury the hidden danger of short circuit.  

I telephoned the project manager on the spot, but the other party was confident: "The materials are almost the same, so you can save some points. Don’t worry about it if you don’t understand." Complain to the decoration company again, and customer service will always be a delaying tactic of "we will handle it". In less than a month, the construction period was 20 days later than agreed, and the budget was 30% overspent. What they called "treatment" was just to send workers to repair the wall casually and stick loose tiles with glue.  

Looking at the messy construction site, I feel helpless: ordinary people buy houses for decoration, relying on their life savings, can they really only be slaughtered? 

On the recommendation of a friend, I contacted the ox horn supervisor. I remember that Chen Gong, the supervisor, came to the construction site with a bulging tool kit, which contained tools such as an empty drum hammer, a range finder and a phase detector. He squatted on the ground, knocked on the tiles, levelled on the ground, checked the pipeline direction against the hydropower map, and worked hard for two hours. Finally, he handed me a handwritten hydropower acceptance report:  

-The thickness of waterproof coating in toilet is insufficient, and no water closing test has been done;  

-The distance between strong and weak current is less than 15cm, which violates the national standard.  

"These problems will not be changed now, and water leakage and tripping will be troublesome in the future." Chen Gong’s words frightened me. From that day on, he went to the construction site twice a week, taking dozens of photos each time to record the whole process of material entry, process acceptance and problem rectification. Later, a decoration company secretly changed a cheaper gypsum board, and he caught it on the spot: "Look, the anti-counterfeiting code of genuine gypsum board is sprayed on the side, and the code of this batch of goods is printed on the front, which is obviously a counterfeit."  

At that time, I thought that the supervisor’s role was just to "stare at the workers". It was not until later that I realized that every photo they took and every set of data they recorded were quietly weaving an "evidence network".  

The attitude of the decoration company also changed completely after I asked for rework. They even said that I was "unreasonable and in arrears with the project payment" and sent a lawyer’s letter urging the project payment. Angry, I decided to sue. Unexpectedly, the supervisor of Niujiao Prison became my most powerful "support group".  

During the court session, I submitted the records of the supervisor’s inspection at the construction site every time, more than 200 photos and 15 videos, each of which accurately corresponds to the contract terms: the video of tile hollowing detection shot by the supervisor with his mobile phone can clearly hear the hollow sound when the hollowing hammer hits; The acceptance chart taken by the material entry supervisor directly proves that the decoration company changed the brand without authorization, which is inconsistent with renovation contract. The judge later wrote in the judgment: "The video materials of the construction process provided by the plaintiff form a complete chain of evidence, which is enough to prove the defendant’s breach of contract."  

In the end, the court ruled that the other party would refund the overcharged fees, bear all the rework losses, and compensate me for the lost time and mental losses.  

After winning the lawsuit, a friend asked me, "How much did the supervision fee cost? Value? " I calculated the account: the supervision fee was less than 5% of the total renovation fee, but it helped me avoid the loss of at least 50,000 yuan (including rework fee, delay compensation and potential hidden trouble repair). More importantly, it gives ordinary people a "weapon" against the professional team-we may not know how to decorate, but the supervisor uses specialties and records to make every problem traceable and have laws to follow, and help me turn "unfounded words" into "irrefutable evidence". "  

And this lawsuit also taught me that decoration is not luck, but a "battle" that needs professional escort. I am also grateful to the "iron triangle of evidence" of Niujiao Prison, which made me stand firm in the quagmire and convinced me that the rights and interests of ordinary people should never be swallowed up by the "hidden rules of the industry"-as long as someone helps you make every step clear and clear.

From this perspective, Hunan cuisine stores may indeed have surpassed the number of Sichuan cuisine stores, which leads to our third problem today, that is, the current development dilemma of Sichuan cuisine:

  In the development of branding, Sichuan cuisine is seriously lagging behind, and Hunan cuisine is far behind.

  Nationally, the famous Hunan cuisine brands include Chef Fei, Farming Record, Cooking Smoke, Wangxiangyuan, Pengchu, Lanxiangzi, Xiangchilli and so on, all of which are representative brands that have risen in the last 12 years, and most of them have established market barriers and continue to expand strongly.

  Looking back at Sichuan cuisine, in the 12 years since the outbreak of the mobile Internet, has there been a national brand that has done very well? Chengdu’s Todd casserole is very good, and it is also a representative of Sichuan cuisine, but its stores are only in Sichuan at present, which is only a regional brand, not a national brand. What else? I don’t think so!

  Although Sichuan cuisine does have well-known representative brands in high-end brands, and the number of stores in low-end markets also crushes other cuisines, as far as the national catering brands in the middle layer are concerned, there are almost no representatives who can get it. It is no wonder that so many people derogate from Sichuan cuisine.

  It has a spicy and aggressive taste that is popular in the market, and it also has a large number of technical practitioners. Why haven’t there been several well-known national chain brands of Sichuan cuisine? This has become a problem that puzzles many business experts and investors, and it has also become a problem that many Sichuan catering people are not convinced but dare not say.

Therefore, when you can open hundreds of stores without a team, it is a secondary choice to form a team to become bigger and stronger.

  Seventh, if it is easier to make money by making a category that does not depend on chefs, who wants to rely heavily on chefs’ Chinese food?

  Hot pot, skewers, barbecues, grilled fish and other categories with single items are king, and there is no shortage of latecomers every year, just because they are highly standardized, and it is easier to do more stores in a short period of time.

  Therefore, when the market can still rely on highly standardized categories to make money, Sichuan cuisine that relies heavily on the kitchen team becomes a secondary choice.

  The current Sichuan cuisine, to make an inappropriate metaphor, is like a rich second generation who doesn’t worry about eating and drinking. Chengdu, the "Laozi", has fertile land and fruit trees everywhere. If you are hungry, you can stand up directly and eat a lot of fruit with your mouth. Of course, you don’t want to tinker around to find food. When will it change?

  There are two situations that may bring about changes. One is passive change, that is, Chengdu’s catering market has undergone major changes, and it will no longer be the "Jerusalem" of the catering industry, and it will no longer become a "pilgrimage place" for national catering people, completely losing the opportunity to easily earn franchise fees. However, this situation should not be seen in the short term. As far as catering is concerned, Chengdu’s status as a gourmet capital cannot be shaken by other cities in China.

  The second is to take the initiative to change. For example, there are more excellent catering people in Sichuan. They are both dreamers and careerists. They don’t want to be the "rich second generation" in Chengdu market. They want to do something different from others and get different achievements from others.

  No matter whether or not these changes appear, or when they appear, Sichuan cuisine will not decline and will not be killed by hot pot.

  Even if Sichuan people don’t work hard, Sichuan cuisine will still be popular in the market in the foreseeable future, and it will still be the cuisine with the most technical employees.

  Of course, Sichuan cuisine may indeed stop because of complacency and "superior family", which has happened now and will continue to exist in the short term. From this perspective, it is also a regret, and it is a regret that belongs exclusively to Sichuan catering people.
